HolistiCare Subscription Agreement

This Subscription Agreement (“Agreement”) governs access to and use of the HolistiCare platform and services and is entered into by and between:

Innovatify Ltd, a company incorporated in the United Kingdom, with its registered address in Epsom, United Kingdom (“Holisticare”, “we”, “us”, or “our”), and the entity or individual accepting this Agreement (“Customer”, “you”, or “your”).

This Agreement applies when you activate a subscription, start a free trial, or otherwise access the HolistiCare platform.

1. Service Description

HolistiCare provides a software-as-a-service (SaaS) platform designed to support healthcare professionals, clinics, and wellness providers with data organisation, analysis, and operational tools (“Services”).

HolistiCare provides technology only. The Services are intended for professional and administrative support purposes and do not replace clinical judgment.

2. Eligibility and Intended Users

2.1 The Services are offered exclusively to businesses and professionals, including clinics, medical practitioners, and health or wellness organisations.

2.2 HolistiCare does not provide services directly to patients or consumers, and patients are not intended users of the platform.

2.3 You represent and warrant that you are authorised to enter into this Agreement on behalf of your organisation.

3. Account Registration and Use

3.1 You must provide accurate and complete information when creating an account.

3.2 You are responsible for:

  • All activity under your account

  • Maintaining the confidentiality of login credentials

  • Ensuring that authorised users comply with this Agreement

3.3 Account sharing outside your organisation is prohibited.

3.4 Usage limits (such as number of users, practitioners, or patients) may apply depending on your selected plan and may be confirmed during the sales process or onboarding.

4. Free Trials

4.1 HolistiCare may offer free trials for a limited period, as communicated during signup or sales discussions.

4.2 A valid payment method may be required to start a free trial.

4.3 You may cancel the subscription at any time during the free trial, and no charges will be applied.

4.4 If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription under the agreed pricing.

5. Subscription Plans, Fees, and Billing

5.1 HolistiCare offers monthly and annual subscription plans, as presented during checkout, invoice issuance, or sales communication.

5.2 Subscription fees:

  • Are billed in GBP

  • Are processed via Stripe or other authorised payment providers

  • Are charged automatically at the start of each billing period

5.3 Promotional discounts (including limited-time discounts) may apply for a defined duration and will expire automatically.

5.4 Auto-Renewal:
Subscriptions renew automatically unless cancelled before the end of the current billing period.

5.5 Cancellations:
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

5.6 Refunds:
HolistiCare does not operate a “no refunds” policy. Any refunds, credits, or exceptions are handled at HolistiCare’s discretion or as required by applicable law.

6. Taxes

All fees are exclusive of VAT or other applicable taxes unless stated otherwise. You are responsible for any applicable taxes required by law.

7. Acceptable Use

You agree not to:

  • Use the Services unlawfully or in violation of applicable regulations

  • Reverse engineer, copy, or resell the platform

  • Upload malicious code or misuse the platform

  • Use the Services to provide unauthorised medical advice to patients

HolistiCare may suspend or terminate access for misuse or breach.

8. Medical and AI Disclaimer

8.1 HolistiCare does not provide medical advice, diagnosis, or treatment.

8.2 All medical decisions remain solely the responsibility of qualified healthcare professionals.

8.3 Any insights, analytics, or AI-assisted outputs are:

  • Informational only

  • Not clinical directives

  • Subject to professional interpretation

8.4 You agree that you remain fully responsible for compliance with medical, ethical, and professional standards.

9. Data Protection and Privacy

9.1 HolistiCare processes personal and health-related data in accordance with its Privacy Policy.

9.2 Each party acts as an independent data controller unless otherwise agreed in writing.

9.3 Customer data is retained and deleted in accordance with GDPR requirements, including lawful retention periods.

9.4 You are responsible for obtaining any required consents from your users or patients.

10. Security

HolistiCare implements reasonable technical and organisational measures to protect data against unauthorised access, loss, or misuse. No system is completely secure, and absolute security is not guaranteed.

11. Intellectual Property

11.1 HolistiCare retains all rights, title, and interest in the Services and underlying technology.

11.2 You are granted a limited, non-exclusive, non-transferable right to use the Services during an active subscription.

11.3 Feedback provided by you may be used by HolistiCare without restriction.

12. Suspension and Termination

12.1 HolistiCare may suspend or terminate access for:

  • Non-payment

  • Breach of this Agreement

  • Legal or regulatory risk

12.2 Upon termination:

  • Access to the Services will cease

  • You may export your data within a reasonable period

Data will be deleted in accordance with GDPR requirements

13. Limitation of Liability

13.1 To the maximum extent permitted by law, HolistiCare shall not be liable for indirect, incidental, or consequential damages.

13.2 HolistiCare’s total liability under this Agreement is capped at the fees paid by you in the three (3) months preceding the claim.

13.3 Nothing in this Agreement limits liability for fraud, death, or personal injury caused by negligence.

 

14. Indemnification

You agree to indemnify and hold HolistiCare harmless from claims arising from:

  • Your misuse of the Services

     

  • Your breach of this Agreement

     

Your professional services or medical decisions

15. Service Availability and Support (Optional SLA)

 HolistiCare aims to provide reliable service availability but does not guarantee uninterrupted access. Maintenance, updates, or outages may occur.

Support is provided according to the plan agreed during onboarding or sales discussions.

16. Changes to the Agreement

HolistiCare may update this Agreement from time to time. Continued use of the Services after updates constitutes acceptance of the revised Agreement.

17. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
